In the event that the XYZ Affiliate does not approve an entire invoice, the XYZ Local Representative as named in Appendix 3 shall promptly notify the Contractor of the disputed portion(s) of the invoice. The Contractor shall then issue a credit note to the XYZ Affiliate ******for the disputed portion pending investigation of the disputed portion *******to avoid any delays in payment by the XYZ Affiliate. In the event that the points of dispute are resolved with the Local XYZ Representative, the Contractor shall then have the opportunity to submit invoice(s) for the agreed value of the previously disputed portions.
