A ХХХ desires to invite the Recipient to submit a proposal in connection with ХХХ LLC’s transfer prices and business model, additionally and in line with EDL rules define the end customer prices. Prior to and as pre-condition to making the proposal available XXX requests the Recipient to enter into this confidentiality agreement (“Agreement”). If the Recipient declines to sign this Agreement the Recipient will be eliminated from consideration as a potential supplier of the services described above. By entering into this Agreement, the Recipient agrees to receive the Confidential Information and to use it only for purposes of constructing the above proposal.
OPERATIVE PROVISIONS

2.1. Заказчик обязуется:
2.1.1. При условии выполнения Заказчиком своих обязательств по настоящему Договору своевременно и качественно оказывать Заказчику услуги по рекламированию и продвижению товаров Заказчика в объеме указанном в Приложениях №1 и №2 к настоящему Договору.
2.1.2.Услуги, оказываемые Исполнителем в рамках Приложения №1 к настоящему Договору включают:
а) Услуги по продвижению товара Заказчика в аптечных учреждениях Исполнителя
- дистрибьюция – услуги по размещению товара в аптечных учреждениях Исполнителя;
- экспансия – услуги по представлению товара в открываемых и ребрендируемых аптечных учреждениях Исполнителя;
- аналитика - услуги по предоставлению аналитических данных о продажах в аптечных учреждениях Исполнителя;
- согласованный ассортимент – услуги по консультированию Заказчика в целях определения размещения приоритетного товара Заказчика в аптечных учреждениях Исполнителя с точки зрения объема продаж;
- тестирование – услуги по тестированию продаж товара Заказчика в согласованных аптечных учреждениях Исполнителя;
- промоакция 1 - услуги по проведению рекламных акций со снижением цены товара в согласованные сторонами периоды времени в аптечных учреждениях Исполнителя;
- промоакция 2 - услуги по проведению рекламных акций со снижением цены товара на момент начала продаж товара Заказчика в аптечных учреждениях Исполнителя;
- промоакция 3 – услуги по проведению рекламных акций с предоставлением подарков и пробников в согласованные сторонами периоды времени в аптечных учреждениях Исполнителя.
б) Услуги по рекламе товара Заказчика в аптечных учреждениях Исполнителя
- реклама на бумажных носителях и печатных изданиях - размещение рекламно-информационных материалов Заказчика в сезонных листовках, газетах и журналах;
- фирменное оборудование - размещение в аптечных учреждениях Исполнителя рекламных носителей Заказчика и фирменного оборудования Заказчика;
- шелф-токеры – размещение POS материалов Заказчика в аптечных учреждениях Исполнителя в соответствии с согласованным с Исполнителем дизайном;
- воблеры – размещение POS материалов Заказчика в аптечных учреждениях Исполнителя в соответствии с согласованным с Исполнителем дизайном;
- консультирование – услуги по предоставлению дополнительной информации покупателям о проведении ценовых акций в отношении продукции Заказчика, организация работы специализированных консультантов;
- реклама на пакетах – размещение рекламы Заказчика на фирменных пакетах Заказчика;
- юбилей – размещение рекламы Заказчика на бумажных носителях, с последующем их распространением в аптечных учреждениях Заказчика приуроченных к значимым для Заказчика датам.
Translation - English 2. RIGHTS AND OBLIGATIONS OF THE PARTIES
2.1. The Contractor shall:
2.1.1. Under condition of performance by the Customer of the obligations under this Agreement, in due time and qualitatively render services to the Customer on advertising and promotion of goods of the Customer in the amount specified in Appendices No. 1 and No. 2 to this Agreement.
2.1.2. The services rendered by the Contractor under the terms of Appendix No. 1 to this Agreement include:
а) Services on promotion of the Customer’s goods in pharmaceutical institutions of the Contractor
- Distribution – services on placement of goods in pharmaceutical institutions of the Contractor;
- Expansion – services on presentation of goods in the opening and rebranded pharmaceutical institutions of the Contractor;
- Analytics – services on provision of the analytical data on sales in pharmaceutical institutions of the Contractor;
- Agreed range of goods – provision of consultancy services for the Customer for the purpose of determination of placement of the priority goods of the Customer in pharmaceutical institutions of the Contractor from the point of view of sales volume;
- Testing – services on testing sales of goods of the Customer in the agreed pharmaceutical institutions of the Contractor;
- Promo action 1 – services on carrying out of advertising actions in pharmaceutical institutions of the Contractor with reduction of price of goods during the periods of time agreed by the Parties;
- Promo action 2 – services on carrying out of advertising actions in pharmaceutical institutions of the Contractor with reduction of price of goods at the moment of the beginning of sales of goods of the Customer;
- Promo action 3 – services on carrying out of advertising actions in pharmaceutical institutions of the Contractor with granting gifts and give-away samples during the periods of time agreed by the Parties.
b) Services on advertising of goods of the Customer in pharmaceutical institutions of the Contractor
- Advertising on paper carriers and in periodicals – placement of promotional and informational materials of the Customer in seasonal leaflets, newspapers and magazines;
- Company equipment – placement of advertising carriers and company equipment of the Customer in pharmaceutical institutions of the Contractor;
- Shelf talkers – placement of POS materials of the Customer in pharmaceutical institutions of the Contractor in accordance with the design agreed upon with the Contractor;
- Wobblers – placement of POS materials of the Customer in pharmaceutical institutions of the Contractor in accordance with the design agreed upon with the Contractor;
- Consultancy – services on provision of additional information to the buyers on carrying out of pricing actions pertaining to the Customer’s products, organization of work of the specialized consultants;
- Advertising on bags – the Customer’ advertising on the Customer’s company bags;
- Anniversary – advertising of the Customer on paper carriers, with subsequent distribution to pharmaceutical institutions of the Customer timed to the significant dates for the Customer.

Source text - English This report aims not only to provide a league table of the world's leading exhibitors but also to present a top level strategic analysis of the global cinema exhibition industry as it embarks upon a period of significant change. It looks at the structure of the global market for cinema as a leisure pursuit but its primary focus is on the structure of the exhibition industry itself. The reason for this is simple: it is because the exhibition industry is largely divorced from the creation of content – theatrical films themselves – and as such rather responds to than creates the market for filmed entertainment. Overwhelmingly the latter is the creation of separate national film industries, each primarily serving its own domestic market and, subsequently, the export market. Most films made by the United States industry, even, gross more in their domestic market than abroad. Although the exhibition industry could (once again, as it did in the past) involve itself in film production and so intervene strategically in the market environment in which it operates, there are no signs that it is about to do so. For the immediate, foreseeable future, strategy is being played out within the industry itself.
