This paper reviewed the articles about adolescence, its relation to spiritual intelligence and the related theories
The adolescence period is the best time to develop positive emotions and training skills, because adolescents are seeking to find their identity and their future personality at this period. Spiritual intelligence has a significant influence on the quality of life and it goes without saying that adolescence is a sensitive period which requires specific training to make a brighter future and be exposed to the difficulties. Spirituality can be viewed as a form of intelligence because it predicts functioning and adaptation and offers capabilities that enable people to solve problems and attain goals. Conceiving spirituality as a sort of intelligence extends the psychologist's conception of spirituality and allows its association with the rational cognitive processes like goal achievement and problem solving. Emotional intelligence allows us to judge in which situation we are involved and then to behave appropriately within it. Spiritual intelligence allows us to ask if we want to be in this particular situation in the first place.

MEMORANDUM OF AGREEMENT
THIS AGREEMENT has been entered into on this 30th day of November, 2016.
BY AND BETWEEN:
Mr. NOORUDEEN UROTHIL MOIDEEN, Indian national, holding passport number J2127853, Emirates I.D number 784-1979-8314706-3 residing in Dubai, UAE, representing M/s. GULF STAR BUSINESS MAN SERVICES Branch a sole establishment, duly incorporated in the Emirate of Dubai with commercial License number706211 (which activities, rights and liabilities are hereinafter referred to as the “Company” or "Business") DUBAI, UAE. (Hereinafter referred to as the FIRST PARTY / SELLER which expression shall where the context so admits, include his legal assigns and successors);
AND
Mr.RASHID KHALEEL ABDULLAH KHALEEL, Indian national, holding passport number K6454049, Emirates I.D number784-1990-4836549-0, residing in Dubai, UAE. (Hereinafter referred to as the SECOND PARTY / BUYER which expression shall where the context so admits, include his legal assigns and successors);

PREAMBLE
WHEREAS:
The FIRST PARTY being the SOLE REGISTERED OWNER AND MANAGER, having 85 percentage ownership rights in the company and the Second party holds 15 percentage ownership rights in the company.
The FIRST AND SECOND PARTIES desire to execute this Agreement for the mutual benefit of the parties and for the betterment of the business.
NOW, THEREFORE, it is hereby agreed by the parties as follows:
1. The above preamble shall form and be an integral part of this Agreement.
2. The First party is the sole registered owner of the company and competent to contract.
3. The First Party do hereby agrees to include the Second Party as the statutory share holding partner in the company, to the extent of his 15 percent ownership rights in the company against investment of AED 126,370(one hundred Twenty six thousand three hundred and seventy Dirham’s only) which is given to Mr. Shoukath Ibrahim Vattakatharayil Indian national Holding Passport # H6819266 Emirates Id # 784-198754336381-4 as purchase his share 15% Share from him .
4. If the activity Changed of the said company , it is agreed that the legal structure of the company shall be changed to CIVIL COMPANY or LIMITED LIABILITY COMPANY to include the second Party as a shareholder if the 15% of the expenses paid to First Party by the Second party. In the event of Changing the Business Activity of the company or Sale of company in favour of any third party, with the mutual consent of the parties, the parties shall be eligible for the distribution of the sale value as follows”

5. The Parties do hereby undertake that:
1. The First Party warrants that the OWNERSHIP RIGHTS are free from any lien, encumbrances, interest, charges, adverse claim or any other restriction which prevent the transfer of shares to the Second Party.
2. The First Party agrees not to transfer, assign or re-sell the shares(15%) to a third party, without the prior written consent of the second Party.
3. The parties do hereby acknowledge that in the event of First Party’s failure to transfer 15 percent ownership of the company in favor of the second Party or in the event of changing the business activity of the company or the sale of the company in favour of a third party with mutual consent of the parties, the Second party shall have all the legal remedies available to realise the entire amount paid as sale consideration, to the extent of 15 percentage of his ownership rights, from the First party .
4. The Statutory Share Sale documents, such as Execution of Share Sale deed and Memorandum of Association of the company / appointing Local Service Agent, registering the Second Party’s name as a shareholding partner, including changing the business activity or sale of the company in favour of a third party with mutual consent of the parties, will be executed by the parties at the earliest convenience of the parties and the National Shareholding partner. To avoid confusion, it is acknowledged that IT IS THE RESPONSIBILITY OF THE FIRST PARTY TO PROCEED WITH COMPANY STATUS CHANGE AND INCLUSION OF THE SECOND PARTY AS A SHARE HOLDER OF THE COMPANY and the second party shall cooperate with the First Party to complete the process and the expenses for the new business 15% Second party should paid to the First party Trade License and all other related official documents will be updated accordingly by the First Party on time.
5. The First Party do hereby indemnify the Second Party against any loss or sufferings that may be caused by the conduct of the First Party or out of this transaction.
6. Term:
This Agreement shall be in force once the share sale amount settled by second party and then the memorandum of understanding will be inactive.
7. Rights upon Termination:
1. The termination of this Agreement for any reason whatsoever shall not terminate, effect or impair any rights, obligations or liabilities of any Party hereto which may have accrued prior to such termination.
2. Upon termination of this Agreement for any reason whatsoever, the 2ndparty shall have claim on the assets and revenues of the Business, to realize his investment, along with 15 % (Fifteen percentage) .
8. Entire Agreement: This Agreement constitutes the entire understanding of the Parties relating to the Investment, management and operation of the Business and supersedes, cancels and replaces all prior Agreements between the Parties and no amendments to it shall be effective unless made in writing and signed by parties or duly authorised representatives of the respective Parties.
9. Waiver: The failure on the part of any of the Parties to exercise or enforce any right conferred upon it by this Agreement shall not deemed to be a waiver of any such right or operate so as to bar the exercise or enforcement thereof at any time or times thereafter.
10. Severability: Should any part of this Agreement be found to be unenforceable or illegal, then this Agreement shall be construed and interpreted as if such an unenforceable part of this Agreement had not appeared in it or had been deleted from it and it would not preclude any other part of this Agreement from being enforced.
11. Ambiguity: Should any ambiguity arise in the interpretation of this Agreement with any translation, the English text hereof shall be used as an integral aid to resolve such ambiguity and to establish the intention of the Parties.
12. Notices: Any notice or any other communication required by this Agreement shall be in Writing and shall be addressed to the Parties as indicated herein above or any other address Where a change of address is notified in writing to the other Parties beforehand and such notice shall be deemed to have been received if sent by recorded delivery registered mail or by a Successful Fax Transmission.
13. Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai.
14. Disputes: Any disputes or difference among the parties in relation to any matters relating to this agreement shall be settled amicably among the Parties. In the event that a dispute cannot be settled amicably within 30 days, the honorable UAE Courts shall have the Jurisdiction.
IN WITNESS WHEREOF this Agreement is entered into and executed on the 30th day of November 2016 in 2 (Two) copies, one of which each copy shall be retained by each signatory .

تمهيد
حيث أن:
الطرف الأول هو المالك والمدير الوحيد والمسجل، وله حقوق ملكية في الشركة بنسبة 85% والطرف الثاني له حقوق ملكية في الشركة بنسبة 15%.
يرغب الطرف الأول والطرف الثاني في إبرام هذه الاتفاقية للمصلحة المتبادلة للطرفين ولتحسين الأعمال.

1. يشكل التمهيد المذكور أعلاه جزءًا لا يتجزأ من هذه الاتفاقية.

4. في حالة تغيير نشاط الشركة المذكورة، تم الاتفاق على أن يتم تغيير الهيكل القانوني للشركة من شركة مدنية إلى شركة ذات مسؤولية محدودة لإدخال الطرق الثاني كمساهم في حالة سداد الطرف الثاني نسبة 15% من المصاريف إلى الطرق الأول. في حالة تغيير نشاط الشركة التجاري أو بيع الشركة لصالح أي طرف ثالث، بموجب موافقة متبادلة من الطرفين، يستحق الطرفان توزيع قيمة البيع كما يلي:

ب. يوافق الطرف الأول على عدم نقل ملكية الأسهم (بنسبة 15%) أو التنازل عنها أو إعادة بيعها إلى طرف ثالث بدون موافقة خطية مسبقة من الطرف الثاني.
ت. يقر طرفا هذه الاتفاقية على أنه في حالة إخفاق الطرف الأول في نقل ملكية 15% من ملكية الشركة لصالح الطرف الثاني أو في حالة تغيير نشاط الشركة التجاري أو بيع الشركة لصالح طرف ثالث بموجب موافقة متبادلة من الطرفين، يحصل الطرف الثاني على التعويض القانوني المتاح ليدرك إجمالي المبلغ المدفوع كقيمة بيعية إلى حد 15% من حقوق الملكية من الطرف الأول.

6. المدة:
تسري هذه الاتفاقية بمجرد تسوية الطرف الثاني لمبلغ بيع الأسهم، وبعد ذلك تسري مذكرة التفاهم.
7. الحقوق عند الإنهاء:
أ. لا يؤدي إنهاء هذه الاتفاقية لأي سبب من الأسباب إلى إنهاء أو تفعيل أو الإخلال بأي حقوق أو التزامات أو مسؤوليات تقع على عاتق أي من طرفي هذه الاتفاقية والتي قد تكون مستحقة قبل أي إنهاء من هذا القبيل.
ب. عند إنهاء هذه الاتفاقية لأي سبب أيًا كان، يكون للطرف الثاني حق المطالبة بأصول وعوائد الأعمال التجارية لتحقيق هذا الاستثمار، بالإضافة إلى 15% (خمسة عشر بالمائة).
8. الجب والحلول:
تشكل هذه الاتفاقية كامل التفاهم بين الطرفين فيما يتعلق بالاستثمار في الأعمال التجارية وإدارتها وتشغيلها وتنسخ وتلغي وتحل محل جميع الاتفاقيات السابقة بين الطرفين، ولا يسري أي تغيير عليها ما لم يتم هذا التغيير كتابة ويوقع عليه الطرفان أو ممثليهما المفوضين بالتوقيع.
9. التنازل:
يجب ألا يعتبر إخفاق أي من الطرفين في ممارسة أو فرض حقوقه الممنوحة بموجب هذه الاتفاقية تنازلاً عن هذا الحق أو العمل بما يمنع ممارسة أو فرض هذا الحق من وقتٍ لآخر بعد ذلك.
10. صحة الاتفاقية:
في حالة اكتشاف كون أحد أجزاء هذه الاتفاقية غير قابل للتنفيذ أو غير قانوني، حينئذٍ تفسر هذه الاتفاقية كما لو كان هذا الجزء غير القابل للتنفيذ بهذه الاتفاقية غير موجود فيها أو تم حذفه منها أو ولا يمنع هذا الجزء من تنفيذ أي جزء آخر من هذه الاتفاقية.
11. الغموض:
في حالة وجود أي غموض في تفسير أي ترجمة لهذه الاتفاقية، يُستخدم النص الإنجليزي من هذه الاتفاقية كعامل مساعد لا يتجزأ لحل هذا الغموض ولتحديد نوايا الطرفين.
12. الإخطارات:
يجب أن يكون أي إخطار أو تواصل لازم بموجب هذه الاتفاقية كتابة ويتم إرساله إل عنوان الطرفين المشار إليه أعلاه أو لأي عنوان آخر يتم إرسال إخطار كتابي بتغيير هذا العنوان للطرف الآخر مسبقًا. ويعتبر هذا الإخطار قد تم استلامه في حالة إرساله بالبريد المسجل بعلم الوصول أو برسالة فاكس يتم إرسالها بنجاح.
13. القانون والاختصاص القضائي:
تحتكم هذه الاتفاقية وتفسر وفقًا لقوانين دولة الإمارات العربية المتحدة السارية في إمارة دبي.
14. النزاعات:
يتم تسوية أية نزاعات أو خلافات تنشأ بين الطرفين فيما يتعلق بهذه الاتفاقية بصورة ودية. في حالة عدم التمكن من تسوية هذا النزاع بصورة ودية خلال 30 يومًا، يكون للمحاكم الموقرة بدولة الإمارات العربية المتحدة الاختصاص القضائي.
وإشهادًا لذلك، حُررت هذه الاتفاقية يوم 30 نوفمبر 2016 من نسختين، يحتفظ كل طرف موقع أدناه بنسخة منها.

مذكرة شارحة بأسباب الاستئناف
مقدمة من:

ضــــــــــــد:
1- النيابة العامة المستأنف ضدها/ سلطة الاتهام
2- هشام طه مقبل احمد مقبل – بريطاني المستأنف ضده/المدعى عليه بالحق المدني
الموضوع:
استئناف القرار الصادر من النيابة العامة بتاريخ 23 يناير 2017 في الدعوى رقم 15209/2016 جزاء بأن لا وجه لإقامة الدعوى الجزائية قبل المتهم لعدم الجريمة.
أولاً: في الشكل:
لما كان قرار النيابة العامة قد صدر بتاريخ 23/1/2017م، وحيث إن ميعاد الاستئناف عشرة أيام طبقاً للمواد 133 ، 134 من قانون الإجراءات الجزائية الاتحادي، يبدأ بالنسبة للخصوم ماعدا النيابة العامة من تاريخ إعلانهم بالقرار، وحيث انه لم يتم حتى الآن إعلان المستأنفة/المدعية بالحق المدني قانوناً بالقرار، فيظل ميعاد الاستئناف مفتوحا بالنسبة لها، وقائماً لحين إعلانه بالقرار المستأنف، فيكون استئنافه قد قدم خلال الأجل حرياً بالقبول.
ثانياً: في الموضوع:
إن القرار المستأنف خالف القانون وأخطأ في تطبيقه،وأخل بحقوق المستأنفة في الدفاع وجاء معيباً بالقصور في التسبيب والفساد في الاستدلال وخالف الثابت في الأوراق وعدم الاستناد إلى أسس صحيحة مما يستوجب إلغاءه.
بالرغم من اكتمال كافة أركان جريمة خيانة الامانة في الواقعة، طبقاً للمادة 404 من قانون العقوبـات الاتحـادي.
تُبدي المستأنفة/المدعية بالحق المدني الأسباب التالية طعناً :
المستقر في قضاء التمييز على أنه المقرر أن جريمة خيانة الأمانة جريمة وقتية تقع وتنتهي بمجرد اختلاس المال المسلم أو تبديده.
-حكمها الصادر بجلسة 17/1/2010 في الطعن رقم 486 لسنة 2009 جزاء-
الثابت من خلال أوراق الدعوى، أن المستأنف ضده (المتهم) أقر صراحةً باختلاسه مبلغ 1415509 درهم (مليون واربعمائة وخمسة عشرة ألف وخمسمائة وتسعة دراهم)، وهو ما أثبته أيضاً السيد الخبير المنتدب في الدعوى، إذ قرر في البند سادساً تحت عنوان النتيجة والرأي ((سادساً: فيما يتعلق بادعاء الشاكية أن المشكو ضده مدين لها بمبلغ 1412488 درهم والناتج عن سدادها لنفقاته الشخصية خلال الفترة من 2010 و2014:
-تبين أن المشكو ضده دأب منذ تاريخ 17/10/2010 على صرف مبالغ من حسابات الشركة لتغطية نفقاته الشخصية، وقد ترصد بهذا الحساب لصالح الشاكية في 31/10/2014 مبلغ 1415509 درهم، وقد أقر المشكو ضده بأن تلك المديونية مستحقة بذمته لصالح الشاكية)).
وهو ما يثبت معه قيام المستأنف ضده باختلاس مبالغ من الشركة المستأنفة/المدعية بالحق المدني، بل وأقر بها كما أسلفنا ، كما تؤكد المستأنفة انتفاء علمها أو موافقتها على قيام المستأنف ضده بصرف تلك الأموال على اموره الشخصية، بل ويتبين من خلال مرور الفترة الطويلة على عدم إعادة هذه الأموال، مما يثبت معه واقعة اختلاسه لهذه المبالغ وانكاره لحق المستأنفة، كما تؤكد المستأنفة بأن المستأنف ضده لا يستحق أي مبالغ على كحقوق عمالية، وهو ما قررته محكمة دبي بموجب حكم صادر من دائرتها العمالية.
وخصوصاً أن المستأنف ضده أقر بترصد هذا المبلغ في ذمته حتى الان وبعد تركه العمل لمدة طويلة، علماً بأنه كان ينكر اختلاسه لأية مبالغ عند مواجهته بالتهمة في بادئ الامر.
وحيث ان السيد الخبير المحاسبي أكد اختلاس المتهم لمبلغ 1415509 درهم (مليون واربعمائة وخمسة عشرة ألف وخمسمائة وتسعة دراهم) من حساب الشركة المستأنفة، وذلك بصرفها من اجل نفقاته الشخصية دون وجه حق ودون علم أو موافقة الشركة المستأنفة.
وحيث أن جريمة خيانة الأمانة تكون متحققة طبقاً للمادة 406 من قانون العقوبات الاتحادي، كونها جريمة وقتية تقع وتنتهي بمجرد اختلاس المال المسلم أو تبديده، ولا ينال من ذلك إبداء الجاني استعداده من سداد المبلغ بعد ذلك، إذ انها تختلف عن جريمة إعطاء شيك بدون رصيد.
وحيث أن النيابة العامة خالفت هذا الفهم للقانون، مما يكون قرارها يستوجب إلغائه.
كما أن جريمة خيانة الأمانة ثابتة وفق ما شهد بهد الشهود في الدعوى، إذ شهد/ محمد شهيد الإسلام أن المستأنف ضده استخدم أكثر من سيارة واحدة (1) و كذلك أفاد بأنه استخدم سيارات الشركة المستأنفة لأموره الشخصية، مثل توصيل أسرته للتسوق وغيرها من الأمور التي ليست لها علاقة بأعمال الشركة.
كما شهد السيد / أيمن شقاء بأن "هشام مقبل حصل على الشيكات لتغطية نفقات المواقع وأنه قد تم اعتماد كافة الأموال لتغطية نفقات المواقع من قبل هشام مقبل ولا يمكن صرف الأموال دون موافقته".
إذ يتبين من خلال ذلك أن المستأنف ضده كان لديه سيطرة وسلطة كاملة على الأموال، واستغل هذه السلطة إنفاق الأموال لأموره الشخصية.
لما تقدم يتبين أن السيد الخبير أثبت في البند سادساً من نتيجة تقريره، قيام المستأنف ضده باختلاس مبلغ 1415509 درهم (مليون واربعمائة وخمسة عشرة ألف وخمسمائة وتسعة دراهم)، من حساب المستأنفة، فضلاً عن إقرار المستأنف ضده نفسه، وما شهد به الشهود في الدعوى.
لما سبق أعلاه يتبين بأن القرار المستأنف قد خالف القانون وأخطأ في تطبيقه،وأخل بحقوق المستأنفة في الدفاع وجاء معيباً بالقصور في التسبيب والفساد في الاستدلال وخالف الثابت في الأوراق وعدم الاستناد إلى أسس صحيحة مما يستوجب إلغاءه.

تطلب المستأنفة من المحكمة الموقرة:
إلغاء القرار المستأنف وإحالة ملف الدعوى مجدداً إلى النيابة العامة، للعمل على إحالة المستأنف ضده للمحاكمة أمام القضاء لارتكابه جريمة خيانة الأمانة طبقاً للمادة 406 من قانون العقوبات الاتحادي، وإلزامه بالرسوم والمصاريف وأتعاب المحاماة.

Subject:
Appeal of the resolution issued on January 23rd, 2017 by the Public Prosecution in case no. 15209/2016 penal that there are no grounds for filing the criminal case by the accused due to lack of crime.
First: In form:
Whereas Public Prosecution’s resolution was issued on 23/01/2017, and the appeal period is ten days, according to Articles 133 and 134 of Federal Criminal Procedure Law, starting from the resolution notice date, except for Public Prosecution, and whereas the Appellant/Plaintiff has been duly notified of the resolution, appeal date shall remain open and existent for the Appellant/Plaintiff till the date of notifying the Appellant/Plaintiff of the appealed judgment, therefore the appeal filed during the appeal period shall be acceptable.
Second: On the Merits:
That the appealed resolution involves violation of the law, error in application thereof, prejudice to the Appellant’s right of defense, invalidity of evidencing, deficiency in causation and contradiction of what is proven by documents and not based on valid grounds which necessitates revoking such resolution, despite completion of breach of trust crime’s elements in the incident, according to Article 404 of Federal Penal Code.
The Appellant/Plaintiff submits the following grounds of appeal:
It is established by the Court of Cassation that the breach of trust crime is an instant crime that shall end once the embezzlement and dilapidation of delivered money occurs.

It is established by the case documents that the Appellee (the Accused) expressly acknowledged its embezzlement of 1,415,509.00 AED (one million and four hundred and fifteen thousand and five hundred and nine hundred dirhams), which is proven by the expert assigned to the case. The expert determined in the sixth item, under “Result and Opinion”, that (Sixth: Regarding the Claimant’s claim that the Respondent owes 1,412,488.00 AED to the Claimant as a result of paying such amount for personal expenses during the period from 2010 to 2014:
It appears that, from 17/10/2010, the Respondent consistently spent amounts of the company’s accounts to cover the Respondent’s personal expenses, and on 31/10/2014, the Respondent owes 1,412,488.00 AED to the Claimant, and the Respondent acknowledged that this debt is due to the Claimant).
This proves the Respondent’s embezzlement of the amounts from the Appellant/Plaintiff Company, and the Respondent even acknowledged this embezzlement as mentioned above. The Claimant also affirms its unawareness and non-approval of the Respondent’s spending of these amounts on personal matters. It even appears after this long period of not returning these amounts that the embezzlement of these amounts and denial of the Plaintiff’s right is proved. The Appellant also affirms that the Appellee shall not be eligible to any labor rights, which is established by Dubai Court upon a judgment issued by its labor circuit, especially that the Appellee acknowledged its debt of this amount till now and for a long period after leaving work, knowing that the Appellee was denying embezzlement of any amounts when confronted with the crime at the beginning.
Whereas the accounting expert affirmed that the accused embezzled 1,415,509.00 AED (one million and four hundred and fifteen thousand and five hundred and nine hundred dirhams) from the Appellant Company’s account, by the Appellant’s illegal spending these amounts on personal matters without informing or approval of the Appellant Company.
Whereas breach of trust crime is realized according to Article 404 of Federal Penal Code, being an instant crime that occurs and ends once the delivered money is embezzled and dilapidated, and it shall not be affected by the accused show of its will to pay the amounts after that, as it is different from the crime of giving a bounced cheque.
Whereas the Public Prosecution violated this understanding of law, which necessitates revoking Public Prosecution’s resolution.
Also, breach of trust crime is proved according to testimonies of witnesses in the case, as Mohamed Shahid Al-Islam testified that the Respondent used more than one (1) car and also used the Appellant Company’s cars in personal matters, such as taking his family shopping and other matters not related to company’s works.
Mr. Aiman Shaqaa also testified that “Hisham Moqbel” obtained the cheques to cover expenses of the sites, and that all amounts due to cover the sites’ expenses have been approved by Hisham Moqbel and cannot be spent with Hisham Moqbel’s approval.
It appears that the Respondent has full power over the amounts and used this power to spend the amounts on personal matters.
According to the above mentioned, it appears that the expert proved in the sixth item of the report result that the Respondent embezzled 1,415,509.00 AED (one million and four hundred and fifteen thousand and five hundred and nine hundred dirhams) from the Appellant’s account, in addition to the Appellee’s acknowledgment and testimonies of the case witnesses.
According to the above mentioned, it appears that the appealed resolution involves violation of the law, error in application thereof, prejudice to the Appellant’s right of defense, invalidity of evidencing, deficiency in causation and contradiction of what is proven by documents and not based on valid grounds which necessitates revoking such resolution.
Therefore, the Appellant petition the honorable court:
To revoke the appealed judgment and refer the case file again to the Public Prosecution to work on referring the Appellee to court due to committing breach of trust crime according to Article 404 of Federal Penal Code and oblige the Appellee to pay expenses, charges and attorneys’ fees.
