Additionally, at the time of the subject closing in January 1999, K. and O. signed a “Representation Agreement” whereby O. appointed K. as its sales and marketing organization within the United States of America and Canada to market and sell the following products, to wit:
scrape surface heat exchangers for lube oil de-waxing or wax de-oiling;
scrape surface heat exchangers for other crystallization processes;
transfer line exchangers or linear quench exchangers for ethylene plants;
linear heat exchangers for gasification processes;
waste heat recovery systems for ammonia plants, methanol plants, hydrogen plants, coal gasification plants, partial oxidation plants, **auto-thermal reforming plants**, gas-to-liquid plants, claus plants, and styrene plants;
and membrane technology for gas processing.
