English to French Law/Patents Law: Contract(s) time vesting options
Hello,

I am struggling with the exact terminology for time-vesting options.

Vesting - General
This Option is comprised of Time-Vesting Options and Performance- Vesting Options, each of which is subject to separate vesting terms as set forth below. You cannot vest in more than the number of shares of Stock covered by this option.

Time Vesting- Options
Subject to the terms of the Plan, your right to purchase shares of Stock under your options under this Agreement vests and becomes exercisable as follows: one-half (1/2) of the total number of shares of Stock under the options granted under this Agreement will vest one-fourth (1/4) on each annual anniversary of the Vesting Start Date, provided you then continue in Service (the “Time-Vesting Options”).


So, I am thinking of: Options assorties d'un délai d'acquisition OR options assorties d'une période d'indisponibilité OR période de blocage.

Je crois que c'est un période du temps investi qu'un employé doit travailler pour un employeur, pour pouvoir arriver à posséder une partie d'une entreprise ou des contributions des impôts d'employeur pour arriver à une retraite rentable.
One reference (law insider time-vesting) explains that time vesting means any conditions relating to the passage of time or continued service with the corporation or subsidiary of the corporation for a period of time in respect of a grant, that may be determined.

Options assorties d'un délai d'acquisition is definitely the right idea.

But you need a translation that would make clear the difference between:

"Time Vesting Options" - where the employee has only to stay employed for a certain period of time to get to right to vest 50 / 75 / 100% of these options - the right comes with the employment, IOW "Time Vesting Options" means "options you get to vest/exercice simply after the passing of some time" nothing more required.

and

"Performance Vesting Options" - that are given ONLY for some level of "performance" - i.e. are not automatic for all employees.

The distinction is in fact between "rights to vest" acquired by simply staying employed and "rights to vest" given to those showing some noteworthy "performance".

disagree Daryo : yes, it's got to do with "timing" BUT if you want a translation that makes sense in this context you have to look at at the whole of "Time Vesting Options" (N.B. the noun is "OPTIONS", "Time-Vesting" is the attached adjective) AND the definition given.

No wonder that you have not seen the answer carefully. I mentioned "Options assorties d'un délai d'acquisition" which is the answer for "Time Vesting Options" not just 'Time Vesting'!
